This agreement outlines the general terms and conditions
for marketing agencies partnering with UNREAL.
UNREAL: A digital platform specializing in mergers and acquisitions (M&A) for small and medium-sized enterprises (SMEs). Company ID: [Insert Company ID].
Client(s): Businesses utilizing UNREAL for M&A services, including capital raising, business acquisition, and exit strategies.
Partners (the partner): Marketing agencies that offer services to UNREAL’s clients. Partners provide quotes and set their own terms and pricing for each client on a case-by-case basis.
Leads: Notifications from the UNREAL platform indicating that a client is seeking a partner’s marketing services.
The purpose of this partnership is for the partner to assist UNREAL's clients with various marketing services, enhancing their business growth and market presence.
UNREAL’s digital platform facilitates the matchmaking process between the Client and the Partner, but UNREAL is not a part of the transactions or agreements between them.
The partnership aims to provide new business opportunities for partners through leads referred by UNREAL.
UNREAL.com aims to create a global network of marketing partners to assist its clients in their promotional and branding efforts. When a client requires marketing services, UNREAL facilitates a matchmaking process as follows:
Client Information: Clients provide relevant details about their needs and authorize UNREAL to share these with potential partners.
Partner Profile: Each partner has an account on UNREAL with a public profile visible to clients, including filters for the types of leads they are interested in.
Lead Notification: UNREAL verifies the client information and sends an email notification to up to three partners with matching criteria.
Proposal Submission: Partners access case details and submit quotes via the UNREAL platform.
Client Selection: The client reviews quotes and selects a partner.
Formalization and Work Commencement: The client and partner formalize their agreement, and the partner begins the agreed-upon work.UNREAL only facilitates the matchmaking process and is not a party to any agreements between the client and the partner. All terms and invoicing are agreed upon directly between the client and the partner.
All partners joining UNREAL start with a free profile. For the first 10 marketing projects, UNREAL charges no setup fees, commission, or revenue share. Additional client projects are priced on a case-by-case basis, and there is no obligation bid on a project. Billing for leads will be invoiced at the end of each month, with a 10-day payment term.
UNREAL provides partners with a free profile on its platform, visible to clients and used to generate leads.
UNREAL aims to provide the 10 clients within the first year, but the exact number may vary based on the region and market demand.
UNREAL will update the partner's profile upon request.
Updated Profile: Partners are responsible for maintaining accurate and up-to-date information on their profile. Partners should contact partnerships@unreal.ooo for any necessary updates.
Professionalism: While not obligated to provide quotes for every lead, partners must act professionally towards clients. Client feedback is collected, and partners with poor ratings may be removed from the platform.
Profile Link: Partners must add a "do follow" link on their website pointing to their UNREAL profile within 30 days of profile creation. This link enhances UNREAL's search engine ranking, helping attract more clients and leads. Failure to add the link may result in removal from the network.
Partners must maintain the confidentiality of all information disclosed by UNREAL and use it solely for the purpose of providing services to clients.
Partners represent and warrant that they have the necessary qualifications and authority to provide marketing services and that they will comply with all applicable laws and regulations.
Partners shall indemnify and hold UNREAL harmless from any claims, damages, or expenses arising from the partner's services to clients, including breaches of contract, negligence, or legal violations.
UNREAL shall not be liable for any indirect, incidental, punitive, or consequential damages arising from this agreement or the services provided to clients.
Either party may terminate this agreement at any time with written notice. Upon termination, UNREAL will remove the partner's profile from the platform. For termination requests, please contact partnerships@unreal.ooo.
